Job Description
As a corporate legal officer, the applicant shall have two main roles.
As a paralegal, the position serves the main point person of AF Law’s with one of its clients listed with the Philippine Stock Exchange to provide legal services to the different business units of such client in connection with regulatory compliances, protection of legal interests, negotiation and drafting of contracts, policy advocacy, and legal disputes through inputs from different legal counsels contracted for the task on hand. The corporate legal officer will also conduct risk assessment and legal due diligence work as needed relating to the Group operations and investments.
As Assistant to the Corporate Secretary and to the Compliance Officer, the position serves as the conduit and provides legal and administrative support to the client’s Board of Directors, monitors its corporate governance processes, liaise and provide support to the Corporate Secretary that oversees and attends to listing and reportorial compliances of the firm’s client, as well as monitors the statutory and regulatory compliances of the firm’s client.
Provision for General legal services:
- Provide legal support in the drafting and implementation of company policies, rules and regulations, and in the negotiation, review and documentation of contracts and agreements, sale documentation, and due diligence reviews including land titles, tax declarations, proof of ownership of properties, etc;
- Responsible for the preparation of incorporation documents from the reservation of name to SEC approval, GIS, Amendments, increase of capitalization, etc;
- Assist in policy advocacy to secure legal privileges and rights; participate in risk management to protect the Company against inappropriate risks.
- Assist the Compliance Officer with Listing Standards, Corporate Governance Code and regulatory matters – Promote best practices in corporate governance and monitor compliance with disclosure obligations, corporate governance code, legal and regulatory requirements.
- Assist the Corporate Secretary - Attend to Board and shareholder concerns and recording of corporate approvals and material actions; ensure that the Board is operating effectively and legally; manage meetings of the Shareholders, the Board of Directors and Board Committees; responsible for maintaining important corporate documents and records such as disclosure statements, SEC filings, shareholder correspondence and proxy statements.
- Support the corporate information officer to oversee and manage the process for disclosures and communications to shareholders, investors, regulators, and other stakeholders; including the preparation and dissemination of press releases, drafting of inputs to annual reports and liaising with stock analysts and public investors.
Minimum Qualifications
General Specification
- Education: LLB or JD graduate (or undergraduate degree if with experience)
- Experience: Experience in corporate governance practices, listing and regulatory compliance;
- In-depth exposure in coordinating and organizing flow of information in the group and attending to disclosure matters;
- Leading process for issue identification (i.e., forward critical analysis of legal and tax implications of corporate projects and transactions).
