Job Description
- Communicate with HQ Legal/Compliance Team to implement policies and decision-making matrices
- Communicate with the law firms to plan and execute the following, including but not limited to:
- Amendment of ByLaws, Articles of Incorporation, other company policies
- Requesting the creation of official resolution for shareholders meeting (General and Extraordinary) and board meetings
- Implementation of new benefits
- Escalation matters (employee, personal information, etc.)
- Submission of government documents (GIS, licenses, etc.)
- Request review of legal documents to HQ Legal Team
- Plan and execute shareholders meetings and board meetings
- Be the main PIC when escalation matters occur
- Coordinate with relevant stakeholders to mitigate risks
- Create and implement governance structures (e.g., creation escalation flows to comply with Philippines Data Privacy Protection Laws)
Minimum Qualifications
- More than 3 years of experience as Internal Control or Legal Officer
- Native level or excellent English language skills
- Understanding of Philippines Corporate Law
- Preferably has a working experience as a Legal Officer in the Internet or Digital Industry or previous experience as in House Legal Counsel
