Job Description

Purpose of the Position:

The position is responsible for overseeing and directing the organization’s legal and regulatory compliance requirements. He/She is responsible for acting as the Legal Officer of the company and leading the execution of all activities of the legal and compliance functions of the department.

Duties:

  • Acts as Corporate Legal Counsel of the company and be responsible for all legal matters including court proceedings, as necessary.
  • Responsible for all Legal and Statutory Compliances.
  • Ensures filing of required reports to the SEC, DENR, ERC, and other government agencies are done on time, as required.
  • Coordinates and works with external legal counsels, as needed, in the preparation of documents, applications, submissions, before a judicial/quasi-judicial body and completing the legal process.
  • Reviews, develops, supports, recommends, implements, and enforce processes, policies, systems and procedures to ensure adherence to all relevant laws, regulatory guidelines and policies.
  • Drafts, vets and signs off on all contracts, agreements and other legal documents.
  • Promptly responds to all legal notices, if any.
  • Promptly responds to all regulatory matters and ensures that all communications of the company which concerns legal and compliance issues adheres to law.
  • Vets all company policies and ensure compliance with the law.
  • Establishes and maintains strong relationships with officials of key government agencies so as to facilitate coordination and communication of critical issues concerning the company’s business.
  • Provide advices and recommendations to executive management on the legal and regulatory compliance implications of business decisions and activities.
  • Alerts management and warns it regarding any irregularity, lack of compliance, lack of adherence, and problems, whether actual or potential, concerning the legal and regulatory matters, policies, systems and procedures. Collaborates and coordinates the activities of outside counsel hired or contracted by the company for whatever legal purpose or activity.
  • Prepares and presents for the approval of management an annual budget, other budgets, business plans and programs for the legal department as may be required from time to time.
  • Carries out any other work as required by the Chief Financial Officer, Executive Director, and Chairman.

Minimum Qualifications

  • Member of the Integrated Bar of the Philippines
  • Senior Level: At least 5 years working experience in the corporate setting
  • Junior Level: At least 3 years working experience in the corporate setting
  • Strong working knowledge in Corporate Law, Legal and Statutory Compliances, Obligations and Contracts, and Energy Law of the Philippines
  • Experience in contract negotiation is required
  • Experience in leading and managing a legal team
