Job Description
CORPORATE GOVERNANCE
1. Legal and Regulatory Compliance
- Ensure that all required government permits and licenses are in place and updated
- Ensure timeliness, completeness and accuracy of all mandatory submittals to government and other governing bodies.
- Coordinate and attend meetings with government agencies in addressing any issues affecting the Company
2. JVA/SHA Compliance
- Ensure that the transactions of the company are compliant with its obligations under its Joint Venture Agreement and Shareholders Agreements.
AD HOC / CONSULTATION
- Provide sound and timely, legal and ethical advice on commercial, tax, labor, and other legal issues, and identify solutions that will ensure compliance and mitigate or eliminate risks
- Provide clarification on legal language or matters
- Collaborate with management in addressing legal concerns or issues and/or in devising strategies for the prosecution and defense of cases involving the Company
OTHERS
- Inform and train relevant business units on the legal requirements pertaining to their functions to ensure that the company and its business partners are compliant with legal and contractual obligation.
- Keep abreast of changes or updates in laws, rules, and regulations that will impact the Company and its operations and advise management regarding the same
- Conduct orientation for new-hires re Legal & Governance, Ethics, key policies and SOPs, etc.
- Perform other tasks as may be assigned from time to time
Minimum Qualifications
Education: Bar passer
Training and Certification: Up-to-date MCLE compliance
Experience: 3-5 years in litigation as an associate in a law firm and/or as in-house counsel, handled labor, civil and criminal cases, tax and corporate matters, and contract drafting and review.
Functional Competencies:
- Overall broad legal knowledge (contract, corporate, labor, tax laws, etc.)
- Analytical ability
- Logical reasoning • Persuasiveness
- Sound judgment and risk evaluation
- Excellent writing skills
- Ability to develop legal strategy
- Ability to communicate clearly and effectively
- Has to be proficient in MS Word, with basic knowledge of Excel and PowerPoint, and contract management system.
