Senior Associate General Counsel | Contracts and Commercial Transactions  

The Senior Associate General Counsel - Contracts and Commerical Transactions will be working under the direct supervision of, and guidance from, the Assistant Vice President for Contracts and Commercial Transactions shall be the lead subject matter experience on, and provide project management services for, the: (1) financing; (2) capital markets; and (3) infrastructure transactions of the Aboitiz Group.

The Senior Associate General Counsel - Contracts and Commercial Transactions shall be responsible for the drafting and review of contracts for the Aboitiz Group. He/she shall ensure that the contractual provisions conform to the mandates of the Board and that potential risks are identified and assessed. He/she shall provide legal advice on contracts, commercial transactions and special projects within and outside the Philippines, external counsel management and liaison, as well as ensure compliance with laws and regulations.

To ensure a more streamlined approach in providing legal support across various work streams and to provide greater value to the legal team's customers, the Senior Associate General Counsel - Contracts and Commercial Transactions shall follow the cross-functional team ("CET") model in legal project management, coordinating and collaborating with the different teams within the legal team, other relevant teams across the Aboitiz Group, and external counsels.

As the Senior Associate General Counsel - Contracts and Commercial Transactions, he/she shall supervise the work and deliverables of the Associate General Counsels, Documentations Specialist and Contracts Paralegal of the Contracts and Commercial Transactions Team. He/she shall also assist in the mentoring/training of these team members. He/she will also be responsible for ensuring the Contracts and Commercial Transactions Team's compliance with its balanced scorecard initiatives and other administrative matters.

• Must possess a degree in law and must be a member of good standing of the Philippine Bar
• Must have extensive professional legal experience in a business environment
• Must have extensive professional legal experience in a law firm or in-house counsel environment
• Extensive experience in M&A transactions, shareholder and joint venture agreements and corporate structuring transactions
• Comprehensive knowledge of Philippine laws and regulations applicable to power, food, land, construction, infrastructure, and other related businesses
